Affiliate Policy

1.Definitions and Scope

For this Affiliate Policy:

Services: The CoolBiz® App, accessible via app.coolbiz.ai, and all related features and functionalities provided by CoolBiz®.

Affiliate: An individual or entity participating in the CoolBiz® App Affiliate Program to promote the Services for commissions.

Subscriber: An individual or entity with an active paid subscription to the Services, including subscriptions secured through an Affiliate referral.

Included Credits: The monthly AI credit allowance bundled with each CoolBiz® App subscription plan, as published on the app.coolbiz.ai Pricing page and as further described in the Terms of Service. The current Included Credits value is subject to change without notice; the value in effect at the time of subscription will govern. Current standard plans include zero recurring usage credits; the trial allowance is a separate one-time grant. When the applicable recurring allowance is zero, no recurring-credit deduction is made from the subscription revenue base. Top-Up Credits: Usage credits purchased by a Subscriber, manually or through explicitly enabled auto top-up, to fund consumption separately from the subscription fee.

Content: All data, text, graphics, and other materials submitted, posted, or displayed through the Services.

Personal Data: Information relating to an identified or identifiable natural person, as defined by applicable privacy laws (e.g., GDPR, HIPAA).

Core Policies: The Terms of Service, Privacy Policy, and Refund Policy applicable to all users of the Services, each as in effect from time to time.

This policy governs only the Affiliate relationship with CoolBiz® and does not alter the Core Policies as applied to Subscribers.

2.Acceptance of Terms

By participating as an Affiliate with the CoolBiz® App, you agree to this Affiliate Policy. If you do not agree, you must not participate in the Affiliate Program. These terms govern all aspects of your relationship with CoolBiz® and are binding.

3.Program Participation

Eligibility: The Affiliate Program offers qualified individuals and entities the opportunity to earn commissions by promoting our Services. Affiliates are independent participants, not employees, agents, or representatives of CoolBiz®, and no employment relationship is created.

Compliance Requirements: Affiliates must adhere to applicable Federal Trade Commission (FTC) guidelines, ensuring transparent disclosures in all promotional activities. Affiliates must accurately represent the Services, avoiding misleading claims or unauthorized promotions. Violations may result in termination and forfeiture of earnings.

4.Commission Structure

Current Rate

The current commission rate is thirty percent (30%) of the commissionable base, which is a net figure as defined in “Net Commissionable Base” immediately below and detailed in subsections (a) through (e). Affiliates earn a recurring commission on approved subscription referrals as follows:

Net Commissionable Base. The “commissionable base” on which the percentages in subsections (a) and (b) are calculated is a net figure. Before the applicable percentage is applied, the following are excluded from or deducted against the base: (i) any sales, use, value-added, goods-and-services, or similar transaction taxes collected from the Subscriber and remitted by CoolBiz®, which are pass-through amounts and are never commissionable; (ii) the Included Credits portion of the plan, as set forth in subsections (a) and (c); (iii) the payment-processing fees (for example, Stripe fees) charged on the transaction; and (iv) the dollar value of any promotional or gift credits that CoolBiz®, acting as Super Admin, issues to the referred Subscriber, whether issued as an outright gift or as an incentive conditioned on the Subscriber adding one or more add-ons. Because the applicable percentage is applied after these deductions, the Affiliate proportionally shares each deducted cost at the Affiliate’s commission rate and CoolBiz® bears the remainder. Promotional or gift credits funded by an Agency from the Agency’s own promo wallet are not CoolBiz®-issued and do not reduce the Affiliate’s commissionable base. Where the value of a CoolBiz®-issued promotional or gift credit exceeds the commissionable base of the transaction against which it is first applied, the unapplied remainder carries forward and reduces the commissionable base of subsequent transactions for the same referred Subscriber until fully applied.

• •(a) Thirty percent (30%) of the subscription plan fee less the value of the Included Credits bundled into that plan. For the CoolBiz® App Business Plan, the Affiliate commission base is the subscription plan fee less the Included Credits value disclosed on the Pricing page at the time of the referred Subscriber's subscription. When the plan includes zero recurring usage credits, this deduction is zero; the other Net Commissionable Base deductions still apply. Trial credits are not a recurring monthly deduction.
• •(b) Thirty percent (30%) of the recurring subscription fee for each add-on subscribed by the referred Subscriber (including CRM Integration, Cloud Database, LAN Downloadable App, Domain Masking, and any future add-on subscription product), calculated against CoolBiz®'s published retail price.
• •(c) Zero percent (0%) on the Included Credits portion of the subscription plan fee.
• •(d) Zero percent (0%) on Top-Up Credit purchases made by the referred Subscriber, regardless of cumulative amount.
• •(e) Zero percent (0%) on consumption-based usage charges drawn against the referred Subscriber's wallet.

Commissions are paid for the life of the subscription, including initial term and renewals, subject to the clawback provisions and the Commission Rate Changes provisions set forth below. The same structural rule applies to all SaaS subscription products promoted by Affiliates, including any future CoolBiz® subscription products as published on the Products page at coolbiz.ai, with the Included Credits allowance applicable to each product as disclosed on the applicable Pricing page.

Worked Example

A referred Subscriber signs up for the CoolBiz® App Business Plan and adds the CRM Integration add-on. The Affiliate's monthly commission is calculated as thirty percent (30%) of the (plan fee minus Included Credits value), plus thirty percent (30%) of the CRM add-on subscription fee, for the life of the subscription. If the referred Subscriber also purchases Top-Up Credits in a given month and incurs consumption-based usage charges beyond Included Credits, the Affiliate's commission for that month is calculated only on the commissionable base above; Top-Up Credit purchases and consumption-based usage charges are not commissionable. The commissionable base in this example is further net of applicable taxes, payment-processing fees, and any CoolBiz®-issued promotional or gift credits, as described under “Net Commissionable Base” above.

Tracking

Permanent affiliate links track referrals, ensuring credit for subscriptions attributable to the Affiliate's link. These links use a unique, anonymized identifier to attribute referrals accurately, without reliance on cookies or temporary tracking mechanisms.

Payments

Commissions are paid monthly by the 15th of the following month (the next business day if the 15th falls on a weekend or U.S. federal holiday) through CoolBiz®'s designated payment processor(s), which currently include Stripe and may from time to time include other processors, invoicing platforms, Automated Clearing House (ACH) providers, direct bank-transfer arrangements, or other lawful payment methods CoolBiz® elects to support. Payouts are facilitated via CoolBiz®'s proprietary affiliate management dashboard, which provides Affiliates with detailed tracking of earnings, pending subscriber payments, and total paid amounts. Affiliates are required to maintain an active payout account with CoolBiz®'s then-current payout method(s). CoolBiz® strives for timely payments but is not liable for delays or issues arising from a payment processor's operations or account-related problems on the Affiliate's end.

Currency and Exchange Rates

All commissions are denominated, calculated, and paid in United States Dollars (USD), regardless of any default display currency selected by CoolBiz®, an Agency, a Subscriber, or any Affiliate. CoolBiz® may display approximate conversions to other currencies on Affiliate dashboard interfaces using automated exchange-rate data obtained from third-party API providers; such conversions are provided for informational purposes only, are estimates, and are subject to change at any time. Any discrepancy between a displayed converted amount and the amount actually received by the Affiliate's financial institution is a matter solely between the Affiliate and that financial institution, and CoolBiz® bears no liability for any such discrepancy.

Adjustments

Refunds and chargebacks trigger proportional commission clawbacks within ninety (90) days of the original purchase, deducted from future commission payments. Where CoolBiz® approves a Subscriber refund in its sole discretion (including without limitation any prorated annual-subscription refund granted under the Refund Policy), the commission previously paid to the referring Affiliate in connection with the refunded subscription period shall be subject to clawback consistent with this section. Clawback applies only to the commissionable base; Top-Up Credit purchases and consumption-based usage charges, being non-commissionable, are not subject to clawback. Where a clawback exceeds the Affiliate's next commission payment, the negative balance carries forward against subsequent commission payments until cleared.

Applicability to Price Changes and Plan Restructuring

The commission structure set forth above applies on its terms to all CoolBiz® subscription plans and add-on subscription products, as those plans and products are priced and structured by CoolBiz® from time to time, including following any change by CoolBiz® to plan pricing, add-on pricing, the value or composition of the Included Credits allowance bundled with any plan, or the published rate for consumption-based usage charges. CoolBiz® may modify plan pricing, add-on pricing, Included Credits values, and consumption rates prospectively without renegotiation of this Affiliate Policy; the structural commission rule — thirty percent (30%) of the subscription plan fee less the Included Credits portion plus thirty percent (30%) of recurring add-on subscription fees, and zero percent on Top-Up Credit purchases, consumption-based usage charges, and the Included Credits portion — continues to apply to the post-change values. CoolBiz® will provide Affiliates with reasonable advance notice of any material change to plan or add-on pricing or to Included Credits values.

Commission Rate Changes

CoolBiz® reserves the right to modify the published commission rate prospectively, in CoolBiz®'s sole discretion, subject to the following provisions:

• •(a) Notice. CoolBiz® will provide each Affiliate with at least sixty (60) days' advance written notice of any commission-rate change by (i) direct email to each Affiliate at the email address on file, (ii) in-Affiliate-dashboard notification, and (iii) updated publication of the commission rate on the Affiliate Program page.
• •(b) Grandfathering of Existing Subscriptions. Affiliate commissions on subscriptions previously secured by an Affiliate at a then-current commission rate continue at that grandfathered rate for the entire life of those subscriptions. The grandfathered rate applies to all commissionable revenue from each grandfathered subscription, including (without limitation) base subscription fees less Included Credits, and any recurring add-on subscription fees subsequently added to the grandfathered subscription.
• •(c) Application to New Subscriptions. The modified commission rate applies only to subscriptions newly secured by an Affiliate after the conclusion of the sixty (60) day notice period. New Affiliates who join the Affiliate Program after a rate change are subject to the rate published at the time of the new Affiliate's enrollment.
• •(d) Symmetric Application. The provisions of this section apply symmetrically to both increases and decreases in the published commission rate. CoolBiz® may not unilaterally reduce the commission rate on grandfathered subscriptions, and an Affiliate may not unilaterally retain a prior higher rate on subscriptions newly secured under a modified published rate.
• •(e) Sub-Component Rates. The provisions of this section apply identically to each of subsections (a) through (e) of the Current Rate clause above. Where CoolBiz® modifies any sub-component rate (for example, modifying the add-on commission rate independently of the base-subscription rate), the notice, grandfathering, and symmetric-application provisions apply to that sub-component.

5.Tax Responsibilities

Affiliates bear sole responsibility for all income tax obligations on earnings, including federal, state, local, and regional taxes. CoolBiz® does not withhold taxes and provides earnings documentation via the proprietary affiliate dashboard for tax purposes. Affiliates must maintain an active payout account in good standing to receive payments and must comply with all applicable jurisdictional tax laws, consulting tax professionals as needed.

6.Content Usage and Brand Guidelines

Permission: Affiliates may use CoolBiz® promotional materials (logos, images, pricing information, text) from app.coolbiz.ai for Affiliate Program promotion only, with attribution and links to the official site. This license is non-transferable and revocable.

Restrictions: Materials must be used in their original form without modification. Use outside the Affiliate Program (e.g., personal projects, third-party marketing) is prohibited. CoolBiz® retains all intellectual property rights.

7.Data Handling and Privacy

Affiliate Link Tracking: Permanent affiliate links track referrals for commission purposes, using a unique, anonymized identifier to ensure accurate attribution of subscribers, as outlined in the Privacy Policy. No cookies or temporary tracking technologies are employed; referral data is securely stored and processed within CoolBiz®'s proprietary systems.

Marketing Communications: In the event an Affiliate engages in direct marketing communications related to the Affiliate Program (e.g., emails or SMS beyond sharing a referral link), such activities require user consent, obtained via opt-in mechanisms (e.g., registration, prompts). Opt-out options must be provided (e.g., "STOP" for SMS, unsubscribe links in emails). Any data collected in such cases is used solely for offers, campaign measurement, and commission tracking, and is not sold or used for profiling. CoolBiz® does not anticipate Affiliates conducting such communications under the current program structure.

Third-Party Integrations: Affiliate marketing platforms — including CoolBiz®'s designated payment processor(s) for payout processing — support tracking and commission management, with data sharing limited to operational necessity (e.g., aggregated, anonymized data).

8.No Professional Advice Disclaimer

The CoolBiz® App and any AI-generated output produced through the Services are provided for general informational and operational-support purposes only. The Services do not provide, and no AI-generated output constitutes, legal advice, medical or healthcare advice, financial or investment advice, tax advice, accounting advice, or any other form of professional advice. Affiliates are not liable for decisions made by referred Subscribers based on chatbot interactions. End users must consult licensed professionals for decisions having legal, medical, financial, tax, or other professional consequences. 9.Integration with Core Policies

This Affiliate Policy supplements the Core Policies, forming part of the complete agreement between CoolBiz® and Affiliates. The Core Policies, each as in effect from time to time, govern the Services' general use, while this policy addresses Affiliate-specific rights and obligations. Subscribers are subject to the Core Policies only.

10.Limitation of Liability and Disclaimer

Service Provision Parameters: CoolBiz® provides Affiliate Program services "as is" and "as available." We do not guarantee uninterrupted service, error-free operation, or fitness for any particular purpose. No warranties are provided. CoolBiz® is not liable for disruptions due to force majeure, third-party failures, or Affiliate misuse.

Financial Liability Limitations: CoolBiz®'s total liability shall not exceed the commissions paid to the Affiliate in the prior twelve (12) months, except in cases of gross negligence or statutory exclusions. CoolBiz® is not liable for indirect or consequential damages.

11.Prohibited Uses

Affiliates must not:

• •Engage in deceptive or illegal promotional practices.
• •Violate applicable laws or regulations (including FTC guidelines).
• •Attempt unauthorized access or disrupt CoolBiz® services.

Violations may result in termination, forfeiture of earnings, and legal action.

12.Dispute Resolution

If a dispute cannot be resolved through direct communication, all claims arising out of or relating to this Affiliate Policy shall be resolved through litigation in the state or federal courts of competent jurisdiction located in Shasta County, California. This policy is governed by the laws of the State of California, without regard to conflict-of-law principles. Both parties consent to personal jurisdiction and venue in such courts. CoolBiz® reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or prevent irreparable harm. If any part of this section is found unenforceable, the remaining provisions remain in full force and effect. For dispute inquiries, contact support@coolbiz.ai.

13.Modifications, Updates, and Amendments

CoolBiz® reserves the right to update or modify this Affiliate Policy as needed to reflect changes in business operations, regulatory requirements, or enhancements to the Affiliate Program. When material changes occur, CoolBiz® will notify affected Affiliates through:

• •Direct email communication;
• •In-Affiliate-dashboard notifications and announcements;
• •Updates to the published Affiliate Policy.

Commission-rate changes are additionally subject to the sixty (60) day advance notice and grandfathering provisions set forth in Section 4 (Commission Rate Changes). Unless otherwise specified, all other modifications become effective upon posting. Continued participation in the Affiliate Program after modifications are published constitutes acceptance of the updated terms.

14.Severability

If any provision of this Affiliate Policy is found invalid, illegal, or unenforceable under applicable law, that provision shall be severed from the agreement. The remaining provisions will continue in full force and effect and will be interpreted to preserve the original intent and purpose of this Affiliate Policy to the fullest extent possible.

15.Complete Agreement

This Affiliate Policy, together with the Core Policies (Terms of Service, Privacy Policy, and Refund Policy), each as in effect from time to time, constitutes the entire agreement between you and CoolBiz® regarding your participation as an Affiliate in the CoolBiz® App program. This agreement supersedes all prior communications or understandings, whether written or oral, related to the Affiliate relationship. Failure to enforce any provision does not waive it or any other provision. This agreement binds the parties, their successors, and permitted assigns. Affiliates must provide accurate information, comply with all policies, and use designated communication channels as outlined herein.
